Franchise Law & Intellectual Property

We represent franchisors and franchisees in both the litigation and corporate contexts. Our attorneys prepare the franchise contracts, disclosure statements, and registrations required by the various state franchise laws. Elliott Greenleaf's attorneys were lead counsel in one of the largest franchise litigations in the nation, In re Arthur Treacher's Franchisee Litigation, M.D.L. No. 467 (E.D. Pa). We are also experienced in the termination of franchise relationships, the resolution of franchise disputes, and the protection of confidential and proprietary business information.

The intellectual property practice involves all phases of securing and maintaining and protecting intellectual property rights and proprietary business information, including preparing copyright and trademark applications, preparing employment, non-compete, and confidentiality agreements protecting technical data and trade secrets, and negotiating and preparing complex licensing agreements.
We also have extensive experience in trademark and trade secret litigation. We have tried damages claims and obtained and defended against injunctions in the contests of employee non-compete and restrictive covenants incidental to the sale of a business, theft of trade secrets, and trademark infringement.
