RAFAEL ZAHRALDDIN WAS A PANELIST AT CORPORATE COMPLIANCE AND BUSINESS ETHICS PANEL

Rafael Zahralddin, Managing Shareholder of Elliott Greenleaf's Wilmington office, addressed corporate compliance issues at the 36th Annual Hispanic National Bar Association Convention in Dallas, Texas. The Panal included counsel and directors of legal compliance, including significant global presence, from IBM Corporation, Microsoft Corporation and Fluor Corporation. The Panal analyzed legal compliance and best practices regarding internal policies and their role in effective risk managaement. Mr. Zahralddin addressed issues related to reporting of material violations by in-house and outside counsel under Sarbanes Oxley, and the "noisy withdrawal" requirement by the Securities and Exchange Commission for "up the ladder" reporting and the rold of compliance committees and Chief Ethics and Compliance Officers who must report when a violation is material, including the whistleblower protections under Sarbanes Oxley. The Panel explored implementing effective corporate compliance programs and guidelines for advising clients on how to operate and close transactions, while dealing with challenging and changing legal ethical issues.
